Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Pedal Galaxy web application and the Pedal Galaxy mobile app for iOS (together, the "Service") operated by Pedal Galaxy LLC ("Pedal Galaxy," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you obtained the iOS app through the Apple App Store, the additional terms in the "Apple App Store" section below also apply to your use of that app.

1. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. We reserve the right to terminate accounts that we discover are operated by users who do not meet the eligibility requirements.

2. Account Registration

To access certain features of the Service, you must create an account by providing your name and email address. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and current.
  • Keep your password secure and confidential.
  • Accept responsibility for all activity that occurs under your account.
  • Notify us immediately if you suspect unauthorized access to your account.

You may not create multiple accounts, share your account credentials with others, or transfer your account to another person without our prior written consent.

3. The Service

Pedal Galaxy is a pedalboard design tool, available as a web application and as a mobile app for iOS, that allows users to create, customize, and save virtual pedalboard layouts. Your account, saved canvases, and settings sync between the web app and the iOS app. The Service includes both free and paid features.

3.1 Free Features

All registered users may access the core pedalboard design functionality, including creating and editing a single pedalboard canvas using our catalog of pedal and gear images.

3.2 Pro Subscription

Pedal Galaxy Pro ("Pro") is a paid subscription that provides access to additional features including unlimited canvases, favorites, image export, custom items, and priority support. Pro features are described on our Pro page and may be updated from time to time.

4. Subscriptions and Payments

4.1 Billing

Pro subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). All fees are stated in U.S. dollars unless otherwise indicated. How you are billed depends on where you subscribe:

  • Web: Subscriptions purchased through the web app are processed by our third-party payment processor, Stripe, Inc. By subscribing, you authorize Stripe to charge your chosen payment method at the beginning of each billing cycle.
  • iOS app: Subscriptions purchased in the iOS app are processed by Apple as an in-app purchase and charged to your Apple ID account. Your subscription will automatically renew and your Apple ID will be charged for the next period within 24 hours prior to the end of the current period, unless auto-renew is turned off at least 24 hours before the end of the current period. Apple in-app purchases are governed by the Apple Media Services Terms and Conditions in addition to these Terms.

4.2 Free Trials

We may offer free trial periods for Pro at our discretion. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable fee.

4.3 Price Changes

We reserve the right to change our subscription fees at any time. If we change the fees for your subscription, we will provide notice of the change at least 30 days before the new fee takes effect. Your continued use of the Pro subscription after the fee change constitutes your agreement to pay the updated amount.

4.4 Cancellation

You may cancel your Pro subscription at any time. Upon cancellation, your Pro access will continue until the end of your current paid billing period. After that, your account will revert to the free tier. We do not provide prorated refunds for partial billing periods. How you cancel depends on where you subscribed:

  • Web subscriptions can be canceled through your account billing settings in the web app.
  • iOS (Apple) subscriptions must be canceled through your Apple ID subscription settings on your device (Settings › your name › Subscriptions) or in the App Store. Deleting the app does not cancel your subscription.

4.5 Refunds

For web subscriptions, refund requests are handled on a case-by-case basis; if you believe you are entitled to a refund, please contact us at the email address listed in the "Contact Us" section below.

For subscriptions purchased through the iOS app, all payments are processed by Apple, and refunds are handled solely by Apple in accordance with its policies. We are not able to issue refunds for Apple in-app purchases. To request a refund, visit reportaproblem.apple.com.

5. User Content

5.1 Your Content

You retain ownership of any content you create using the Service, including your pedalboard layouts and configurations ("User Content"). By using the Service, you grant Pedal Galaxy a limited, non-exclusive, royalty-free license to store, display, and process your User Content solely for the purpose of providing and improving the Service.

5.2 Content Restrictions

You agree not to upload, submit, or transmit any content that:

  • Violates any applicable law, regulation, or third-party rights.
  • Is defamatory, obscene, abusive, threatening, or harassing.
  • Contains malware, viruses, or other harmful code.
  • Infringes upon the intellectual property rights of any party.
  • Impersonates another person or entity.
  • Is spam or unsolicited commercial communication.

We reserve the right to remove any content that violates these Terms or that we find objectionable, at our sole discretion and without notice.

6. Intellectual Property

6.1 Our Property

The Service, including its design, features, code, graphics, logos, trademarks, and all related intellectual property, is owned by Pedal Galaxy LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part of it without our prior written consent.

6.2 Pedal and Gear Images

The Service includes images of guitar pedals and related gear for use within the pedalboard design tool. These images are provided for use within the Service only. You may not extract, download, or redistribute these images outside of the Service except through the image export feature provided to Pro subscribers, and only for personal, non-commercial use (such as sharing your board layout online).

6.3 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Interfere with or disrupt the Service, its servers, or connected networks.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
  • Use automated scripts, bots, or scrapers to access or interact with the Service without our prior written consent.
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service.
  • Circumvent, disable, or otherwise interfere with security features of the Service.
  • Use the Service to collect or harvest personal information of other users.
  • Resell, sublicense, or commercially exploit the Service or any part of it.

8. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or illegal activity, or extended periods of inactivity.

Upon termination, your right to use the Service will immediately cease. We may delete your account data, including User Content, after a reasonable retention period. Any provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PEDAL GALAXY LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information provided through the Service.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEDAL GALAXY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Pedal Galaxy LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of North Carolina, and you consent to the personal jurisdiction of such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page with a revised "Last updated" date. We may also notify you by email for significant changes. Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pedal Galaxy LLC regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

16. Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Pedal Galaxy LLC.

17. Apple App Store

The following additional terms apply when you access or use the Pedal Galaxy iOS app obtained through the Apple App Store (the "Application"). In the event of any conflict between these terms and the other provisions of these Terms, these App Store terms govern with respect to your use of the Application.

  • These Terms are between you and us only. These Terms are concluded between you and Pedal Galaxy LLC only, and not with Apple Inc. ("Apple"). Apple is not responsible for the Application or its content.
  • Scope of license. The license granted to you for the Application is a limited, non-transferable license to use the Application on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions.
  • Maintenance and support. Pedal Galaxy LLC, not Apple, is solely responsible for providing any maintenance and support services for the Application. Apple has no obligation to furnish any maintenance or support services with respect to the Application.
  • Warranty. Pedal Galaxy LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Application to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application.
  • Product claims. Pedal Galaxy LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the Application or your possession and/or use of the Application, including but not limited to: (a) product liability claims; (b) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
  • Intellectual property claims. In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Pedal Galaxy LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Third-party beneficiary. You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
